Be Your Own Registered Agent › No agent required
States where you may not need a named agent
4 states handle it differently from the usual rule. Each is worth reading in full on its state page.
- Minnesota: A Minnesota LLC must keep a registered office in Minnesota; naming an agent there is optional. Minn. Stat. § 5.36, checked October 20, 2026.
- New York: The Secretary of State is the agent for service of process for every New York LLC; naming a registered agent is optional. N.Y. LLC Law §§ 301 and 302, checked October 20, 2026.
- Pennsylvania: Pennsylvania requires a registered office (a Pennsylvania street address or a Commercial Registered Office Provider), not an agent. 15 Pa.C.S. § 8825, checked October 20, 2026.
- West Virginia: The statute says an LLC "may" keep an agent; the Articles ask for one "if any". W. Va. Code § 31B-1-108, checked October 20, 2026.
“Not required” is not the same as “not useful”: in New York a designated agent’s street address goes on the filing and the Secretary of State forwards papers to the address on file, so keep that current. Confirm with the Secretary of State. If you would rather have an agent anyway, Mainstay Filing is $149 a year.
